Capital Gains Tax on shares

If company A buys out the shareholders of company B with cash and script (ie shares in company B) is the obtaining of the company B shares trigger a capital gain or is the capital gainn realised only when company B shares are eventually sold

Generally there will be a CG event trigger by replacing company A shares with company B.
